THE ORGANISATION

The Yinhawangka Aboriginal Corporation (ICN 7837) (YAC) is the Prescribed Body Corporate (PBC) for the Yinhawangka People. YAC manages the native title rights and interests of the Yinhawangka People whose native title determination is in the central Pilbara region of Western Australia with significant historical and current mining activities. YAC’s mission is to support the cultural, social, and economic wellbeing of the Yinhawangka People while ensuring the protection of Yinhawangka land and heritage.

THE ROLE

YAC is seeking an Independent Director to join the board as a key strategic partner to Yinhawangka directors in providing strategic direction and oversight to YAC as it works to achieve the objectives of the Yinhawangka People. This is a critical role, requiring a person who can bring expertise in corporate governance and work constructively within the cross-cultural context of the board.

Key responsibilities:
  • Provide independent, strategic guidance to the board.
  • Contribute to governance, financial management, and compliance oversight.
  • Work with fellow directors to ensure YAC’s goals align with the cultural, social, and economic advancement of the Yinhawangka People.
  • Assist in decision-making regarding land and native title interests, and provide advice on potential agreements and partnerships.
  • Ensure the Corporation meets its legal, regulatory, and fiduciary obligations under the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (CATSI Act).
COMMITMENT

Attendance of approximately two days per month is required with the majority to be attended in person, either in Perth or Paraburdoo in the Pilbara.

KEY SELECTION CRITERIA
  • Previous Non-Executive Director experience is essential.
  • Experience in corporate governance, financial management, law, or a related field.
  • Demonstrated ability to work effectively with Indigenous communities and organisations.
  • Experience in managing or advising on native title and land use agreements is highly desirable.
  • Completion of an Australian Institute of Company Directors (AICD) course or willingness to complete it within the first year of appointment.
  • The Independent Director must not be a member of the Yinhawangka People and must have no direct family or business ties with the community.
   
IN RETURN

This position is a two-year term, with the opportunity for reappointment based on performance and the needs of the Board. A generous package of $54,000 per annum plus additional meeting fees is on offer for the right person. The role is open to someone either based in Perth or the Pilbara.
